Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you ("Client") and Loomis Technologies LLC ("Company", "we", "us", or "our"), concerning your access to and use of the Loomis SaaS chatbot platform (the "Services"). By registering for an account or otherwise using our Services, you agree to be bound by these Terms of Service.

2. Description of Services

Loomis is a multi-tenant AI chatbot SaaS platform that enables businesses to connect messaging channels (Facebook Messenger, Instagram Direct, Telegram, Web Chat Widget) to Google Gemini AI to automate customer support, lead harvesting, and agent handoff.

3. Eligibility & Account Registration

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials (including Supabase Auth hashes) and for all activities that occur under your account.

4. Subscription Plans, Billing & Refunds

  • Billing: Subscriptions are billed on an auto-renewal basis via Stripe.
  • Credits: Monthly limits reset on the 1st of each month. Top-up credits persist while the subscription is active.
  • Refunds: All purchases are final and non-refundable.

5. Acceptable Use Policy

By using Loomis, you agree not to engage in:

  • Spamming or sending unsolicited automated messages.
  • Unauthorized data collection or violations of Meta/Telegram platform policies.
  • Using the service for illegal activities.
  • Uploading malware or prohibited content in knowledge base PDFs.

6. AI-Generated Content Disclaimer

The responses generated by the Google Gemini AI are probabilistic and may hallucinate or produce inaccurate information. Output from the AI does not constitute legal, medical, or financial advice. The Client is solely responsible for the accuracy of their knowledge base content and reviewing the AI outputs.

7. Message Processing & Truncation Notice

To ensure optimal performance, messages over character limits (e.g., 600 or 1200 characters depending on your tier) are truncated server-side before being processed by the AI.

8. Intellectual Property

We retain all rights to the Loomis platform, including the underlying codebase and design. Clients retain all rights to their data, customer conversations, and knowledge base documents.

9. Third-Party Services & Platform Terms

The Services integrate with third parties such as Meta Platforms Inc., Telegram, and Google LLC. Users must comply with the terms of service of these third-party platforms.

10. Data Privacy

Your privacy is important to us. Please review our Privacy Policy and Data Processing Addendum for information on how we collect, use, and process data.

11. Limitation of Liability

To the maximum extent permitted by law, our liability is capped at 3 months of the fees paid by you for the Services.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, or claim arising from your use of the Services or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms or our AUP.

14. Governing Law

These Terms shall be governed by the laws of Wyoming, USA. Disputes will be resolved via binding arbitration under AAA rules.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of any material changes by updating the "Effective Date" at the top of this page.
